Affiliate Terms

This Affiliate Agreement (the "Agreement") is entered into by and between CodeDesign.ai (referred to as "Company" or "CodeDesign.ai") and the affiliate ("Affiliate" or "You"). By participating in the CodeDesign.ai Affiliate Program, You agree to be bound by the terms and conditions set forth in this Agreement.

1. Program Overview

The CodeDesign.ai Affiliate Program is a revenue-sharing initiative where Affiliates can earn commissions by promoting CodeDesign.ai, an AI-powered web builder. Affiliates will receive a percentage of the sales from customers they refer to CodeDesign.ai.

2. Application and Acceptance

To join the CodeDesign.ai Affiliate Program, You must complete the online affiliate application form. CodeDesign.ai will review Your application and notify You of the acceptance status within 48 hours. CodeDesign.ai reserves the right to accept or reject any application at its sole discretion.

3. Commission structure

Affiliates earn a 50% commission on qualifying CodeDesign plan purchases attributed to their affiliate link.

A qualifying purchase includes:

1. The initial purchase of a paid CodeDesign subscription plan.
2. Eligible recurring subscription payments made during the referred customer's first 12 months.
3. The purchase of an eligible CodeDesign lifetime plan.

AI credit packs, AI credit top-ups, additional AI usage purchases, taxes, refunded payments, chargebacks, disputed payments, fraudulent transactions, and other add-ons do not earn commission.

A referred customer must complete a qualifying purchase within 60 days after clicking the affiliate's link. Attribution is determined by CodeDesign's affiliate tracking system. If more than one affiliate promotes CodeDesign to the same customer, the campaign's first-touch attribution setting applies.

Commission is calculated on the qualifying amount actually paid after discounts. If a payment includes both an eligible plan and an excluded item, commission applies only to the eligible plan portion.

CodeDesign may change the commission structure by providing written notice to affiliates. Changes apply prospectively and do not reduce valid commission earned before the effective date of the change.

4. Payment terms

Commissions remain pending for 30 days after the qualifying transaction. This period allows time to account for refunds, chargebacks, disputes, and fraudulent purchases.

A refunded, reversed, disputed, or charged-back transaction does not qualify for commission. Any related commission may be reduced, voided, or deducted from a future payout.

The minimum payout threshold is USD 100. Balances below USD 100 remain in the affiliate's account and carry forward until the threshold is reached.

Once a commission is due and the minimum payout threshold has been reached, it will be included in the next scheduled monthly payout. CodeDesign normally processes eligible payouts by the seventh day of the following month.

Payments are made through the payout method supported by CodeDesign and shown in the affiliate dashboard. Affiliates are responsible for providing accurate payment and tax information and for any taxes or receiving fees that apply to their payout.

5. Marketing

5.1 You are fully responsible for all costs and expenses related to marketing and promoting CodeDesign.ai and/or the Affiliate Program. CodeDesign.ai is not obligated to reimburse or credit you for any marketing expenses.

5.2 You may not engage in any of the following marketing activities and represent and warrant that your marketing practices do not violate any of these restrictions:

• Affiliates shall not make any false, misleading, or disparaging statements with respect to the Affiliate Program, CodeDesign.ai, its employees, its customers, its Services (as defined in CodeDesign.ai Terms of Use), or its Affiliates.

• Affiliates shall not create websites or advertisements that copy, imitate, or resemble the look and feel of CodeDesign.ai Services. Affiliates shall not use URLs that contain trademarked terms such as TryCodeDesign.ai.com or GetCodeDesign.ai.com to redirect traffic to their affiliate link or embed existing CodeDesign.ai sites or dashboards on external sites.
• Affiliates shall not use traffic that is generated by paid media, including, but not limited to, pay-to-click, pay-to-read, banner exchanges, click exchanges, cost-per-view advertising, pop-up/under, spam, purchased traffic, or similar methods without prior written consent from CodeDesign.ai.
• Affiliates may not bid on keywords related to the CodeDesign.ai trademark or misspellings of CodeDesign.ai or related terms.
• Affiliates shall not use cookie stuffing techniques that set the tracking cookie without the potential customer actually clicking on the Affiliate’s referral link.
• Affiliates are responsible for ensuring their tracking codes are working properly before sending traffic to CodeDesign.ai servers. Any modification to the links is the sole responsibility of the Affiliate.

• Affiliates shall not engage in the advertisement of business opportunity websites or use marketing practices that attract fraudulent or short-term customers.
• Affiliates shall not engage in any marketing activity that may harm the reputation or credibility of CodeDesign.ai, including but not limited to using low-quality marketing materials or advertising on any website that promotes violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, or any illegal activities, or violates the intellectual property or other rights of a third party.
• Affiliates shall make it clear that they are the sender of all marketing communications related to the promotion of CodeDesign.ai' Services as part of the affiliate program and Code Design.ai is not involved in such communication.
• Affiliates shall not engage in any marketing or promotional activities that violate applicable laws, rules, or regulations.
• Affiliates shall not use malware or spyware to market or promote CodeDesign.ai Services.

• Affiliates shall not promote cashback or loyalty promotions related to CodeDesign.ai.
• Affiliates shall only promote discounts, coupons, and promotional codes that are provided exclusively through the affiliate program.

6. Termination

6.1 CodeDesign.ai may, in its sole discretion, terminate your participation in the Affiliate Program at any time, with or without cause, and without warning or notice.

6.2 You may terminate your participation in the Affiliate Program at any time by removing your affiliate links from your website and no longer promoting them. For accounting purposes, CodeDesign.ai systems will retain your account and personal information pursuant to our data retention policy.

6.3 You will forfeit all rights to receive past commissions that may have accrued if this Agreement is terminated as a result of your failure to comply with the terms of this Agreement, including:

• breach of CodeDesign.ai Terms of Use, this Affiliate Agreement, or any other conduct that CodeDesign.ai deems, in its sole discretion, to violate any applicable law, rule, or regulation;
• CodeDesign.ai determines, in its sole discretion, that Affiliate’s accounts have generated a large number of fraudulent accounts or are associated with any false or misleading advertising or suspected fraudulent activity;
• conduct or activities that, in Code Design.ai’s sole discretion, are considered to be unfair or damaging to Code Design.ai’s business or reputation, including without limitation, committing any act which CodeDesign.ai considers offensive, incendiary, racist, hateful, threatening, defamatory, or otherwise objectionable;

• the Affiliate’s account has been inactive for 6 consecutive months, or you have been unresponsive to CodeDesign.ai’s attempts at outreach for more than 3 consecutive months. CodeDesign.ai will contact you using the contact information you have provided. It is your responsibility to update your contact information when it changes.

6.4 Upon termination, all rights granted to you shall immediately terminate.

7. Relationship Between You and CodeDesign.ai

Neither this Agreement nor your participation in the Affiliate Program creates any employment, independent contractor, agency, partnership, or joint venture relationship between you and CodeDesign.ai.

8. Confidentiality

During the course of Your participation in the affiliate program, You may have access to confidential information. You agree to maintain the confidentiality of such information and not disclose it to any third party without the prior written consent of CodeDesign.ai.

9. Dispute Resolution

Any dispute or difference whatsoever arising between the parties out of or relating to the construction, meaning, scope, operation, or effect of this contract or the validity or the breach thereof shall be settled by arbitration in accordance with the Rules of Arbitration of the Indian Council of Arbitration, and the award made in pursuance thereof shall be binding on the parties. The number of arbitrators shall be 1 (one). The seat, or legal place, of arbitration, shall be New Delhi, India. The language to be used in the arbitral proceedings shall be English.

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding Your participation in the CodeDesign.ai Affiliate Program, superseding any prior agreements or understandings, whether written or oral.

11. Applicable Terms and Policies

Also, the Terms of Use and Privacy Policy of CodeDesign.ai shall be applicable and incorporated by reference into this Affiliate Agreement. By participating in the CodeDesign.ai Affiliate Program, You acknowledge that You have read, understood, and agree to be bound by the provisions set forth in the Terms of Use and Privacy Policy. In the event of any inconsistency or conflict between the provisions of this Affiliate Agreement and the Terms of Use or Privacy Policy, the provisions of this Affiliate Agreement shall prevail to the extent of such inconsistency or conflict.

By participating in the CodeDesign.ai Affiliate Program, You acknowledge that You have read, understood, and agree to be bound by the terms and conditions set forth in this Agreement.
